2. Services Covered

Services Covered

These Terms apply to all KadmilOS API products:

DPP + Eco — Digital Product Passport generation + ESPR coverage
Try-On Pro — AI virtual try-on via REST API
AI Models — Custom AI model generation via REST API
AI Video — AI video generation via REST API

Plans: Starter / Growth / Scale / Enterprise. Prices at kadmilos.vinket.eu/pricing.

DPP Pilot (€5,000 / €15,000 one-time): governed by the separate Pilot Agreement provided at contract signing. These Terms apply additionally.

3. Account & API Keys

Account & API Keys

Client receives one API key per active subscription.

API keys are non-transferable, confidential, and must not be committed to version control or shared with third parties. Client is responsible for all usage under their API key. Lost or compromised keys: contact dpp@vinket.eu within 24h for rotation.

4. Billing & Payment

Billing & Payment

Subscriptions are billed monthly or annually (annual = 10× monthly rate, no discount beyond that). Payment processed via Stripe. Prices in EUR excluding VAT.

VAT:

EU clients with valid VAT number: reverse charge applies (Art. 196 Directive 2006/112/EC).
EU clients without VAT number: Italian VAT (IVA 22%) added at checkout.
Non-EU clients: VAT-exempt.

Invoices issued by Andrea Camillo Anastasi, P.IVA IT05992760875, within 15 days of payment.

5. Cancellation & Refunds

Cancellation & Refunds

Monthly subscriptions: cancel at any time. Access continues until end of current billing period. No prorated refunds for partial months.

Annual subscriptions: cancel at any time. No refund for remaining months.

Pilot (one-time): no refund once API credentials are delivered.

6. Fair Use & Acceptable Use

Fair Use & Acceptable Use

API usage must not exceed plan limits (SKU/request caps at kadmilos.vinket.eu/pricing).

Prohibited: reverse engineering, reselling API access, automated abuse, scraping beyond documented endpoints, use for training competing AI models without written consent.

Provider may suspend access with 24h notice for abuse. Repeated violations: permanent termination without refund.

7. Service Level & Availability

Service Level & Availability

Provider targets 99% monthly uptime for the API. Planned maintenance communicated via email with 48h notice.

The DPP Pilot targets API credentials and an ESPR coverage report within ~14 days of kickoff (sprint target). Force majeure (outages beyond Provider's infrastructure control) excludes this target.

8. Data & Intellectual Property

Data & Intellectual Property

Client retains full ownership of product data submitted via API (SKU data, materials, certifications, images).

Provider retains ownership of the KadmilOS platform, models, algorithms, and generated DPP schema structure.

Provider uses textile-dpp v1 for CO₂ estimates: category-level estimates, not certified measurements. ESPR coverage reports indicate schema alignment — legal compliance verification remains the client's responsibility.

Data storage: EU-hosted databases (Supabase EU region). CDN delivery may transit non-EU nodes for performance. Provider does not sell client data to third parties.

10. Limitation of Liability

Limitation of Liability

Provider's total liability for any claim is limited to the fees paid in the 3 months preceding the claim.

Provider is not liable for: indirect damages, lost revenue, data loss beyond backups, ESPR non-compliance penalties, regulatory fines.

The ESPR coverage report is informational — not a legal audit or compliance certification.

11. Modifications

Modifications

Provider may update these Terms with 30 days notice via email to registered account address. Continued use after notice period = acceptance.

Material changes (price increases, scope reductions) require explicit opt-in confirmation before taking effect.

12. Governing Law

Governing Law

These Terms are governed by Italian law (Codice del Consumo and Codice Civile where applicable, B2B context).

Disputes resolved before the competent court of Catania, Italy.

For EU consumers: mandatory mediation before litigation per D.Lgs. 206/2005.
